Mineral® Customer Community Code of Conduct

The Community (“Community”) is intended to create a space for members of the Mineral network to collaborate, network and share knowledge with one another. We encourage an environment of collaboration and respect. To keep our Community a productive space, all Community members are required to read, abide by and act in accordance with the terms of this Code of Conduct (the “Code”).

Participation in the Community is subject to these guidelines and all Community members will be held accountable to the same standards by the moderators. The following Code of Conduct is in addition to the existing Terms of Service and Acceptable Use Policy, and is applicable to all customers using the Community. If you violate or do not agree to the terms of this Code, you shall not be able to use the Community and we reserve our right to suspend or terminate your access to the Mineral Platform and/or the Community.

A. Be Respectful and Professional

Treat all members of the Community with respect and professionalism, regardless of their background, experience, or opinions. Do not use demeaning and/or disrespectful language, including but not limited to language related to gender, sexual orientation, physical or mental abilities, race, religion, political affiliations or life choices. Discriminatory, offensive, or hostile language will not be tolerated, and will be considered a breach of this Code.

Promoting violence, threatening, harassing, or inciting other people to do so is not acceptable on the Community. If Mineral deems, in its sole discretion, that a post violates this section of the Code, the respective post will be removed without notice to you, and other appropriate actions may be taken as Mineral deems necessary, including but not limited to warnings, temporary suspensions, termination, reporting, or permanent bans.

B. Relevant and Informative Content

While passion and enthusiasm for certain products, persons, or programs is understandable and may be the topic of discussion, the Community experience is most effective when posts and content relate to HR and compliance. Please limit use of the Community in a manner that disrupts others’ experience and do not “pitch” product or services. Posts including spam, promotion of products or services, or disparaging commentary regarding products, persons, inflammatory discussion or programs are not tolerated in the Community.

It is imperative that Community members refrain from discussing their sponsor or the services provided by their sponsor (i.e., the provider through which access to Mineral products and services are received, pricing and other potentially confidential information). Engaging in such discussions may create conflicts of interest, breach confidentiality obligations, and/or compromise the integrity of our community environment. Posts containing such discussion may be removed in our sole discretion.

Off-topic posts and/or posts containing disparaging remarks may be removed, in our sole discretion, to maintain the quality and focus of the Community.

C. Understand the Limitations

Mineral provides this Community for knowledge-sharing and networking purposes only. We encourage Community members to contribute responsibly, including sharing experiences and seeking guidance in a constructive manner. Please be aware that advice and opinions shared by Community members are not endorsed, reviewed, warrantied, guaranteed, or verified by Mineral unless expressly indicated. Posts are based on personal experiences and opinions, and may not be accurate, relevant or apply universally. Members should independently verify any guidance and information they receive from the Community. The content and information provided in the Community is provided on an “AS IS” basis. This means that we do not guarantee, warranty or represent the accuracy, relevancy, noninfringement or sufficiency of the content. Further, it is important to note that content and information should not be considered legal and/or tax advice. If you have legal or tax questions, we encourage you to seek out independent counsel and/or professional services.

Members shall not share or upload knowingly false information and should ensure that information posted is accurate. Your thoughtful and truthful contributions help maintain a trustworthy and vibrant Community for everyone. Posts found to contain inaccurate information may be removed by the moderators. Nonetheless, Mineral is not liable or responsible for monitoring and/or removing such content from the Community.

D. Restricted Uses

You shall not:

  • Copy, reverse engineer, decompile or disassemble the Community and its content;
  • Modify, combine, adapt, create derivative works from the Community and its content;
  • Share, sub-license, license or transfer any rights granted herein to any subsidiary, partner, affiliate or client;
  • Sell, save, commercialize or exploit the Community and its content or any of the parts thereof;
  • Use the Community and its content beyond the purpose outlined herein, including without limitation, using the Community to promote, solicit, advertise, disparage, market or offer products and/or services;
  • Upload, post, publish, or display in the Community any data, information, content, material or intellectual property that you do not own or have the legal right and/or license to use or that is a material misrepresentation, outdated or inaccurate;
  • Use the Community and/or its content for illegal purposes, including on behalf of others;
  • Access the Community and its content in order to build a competitive product or service, to build a product or service using similar ideas, features, functions or graphics of the Community, or to copy any ideas, features, functions or graphics of the Community, or allow a third party to do so using your account;
  • Remove, alter, cover, or obfuscate any proprietary notices, labels, trademarks, or service marks on the Mineral Platform or any part thereof, unless agreed upon otherwise in writing between the parties;
  • Use the Community and its content in a way that violates or infringes upon the rights of a third party, including those related to contract, intellectual property, privacy, or publicity; and
  • Use the Community and its content in a manner that could damage, tarnish, disparage, disable, overburden, or impair the Mineral Platform and/or Mineral’s services, products, reputation, brand and/or goodwill.

E. Privacy and Confidentiality

Please respect the privacy of fellow Community members and avoid sharing proprietary, confidential, copyrighted or sensitive information, including Protected Health Information and Individually Identifiable Health Information. Out of respect for fellow Community members, member postings should not be screenshotted or shared outside of the Community. Doxing will not be tolerated. Anything a Community member shares in the Community will be considered to have entered the public domain, without the expectation or right of privacy, and without any confidentiality, privilege or data privacy protection. Therefore, if you put personal information and/or contact information in a post, you are agreeing to be contacted by other Community members.

Mineral will use content, material, posts and/or data according to our then-current Privacy Policy. By agreeing to this Code you are agreeing to the then-current Privacy Policy, which is incorporated herein by reference.

F. Reporting Violations and Sharing Feedback

If you believe someone has violated this Code please report the issue to the moderators via email at [email protected]. Moderators will investigate and take appropriate action as necessary. If you believe another member has posted infringing content to the Community, please contact us at [email protected] with a copy of the alleged infringing content and proof of ownership.

G. Disclaimers of Warranties and Liabilities

Mineral does not endorse or take responsibility for the accuracy, non-infringement or consequences of content, information, and/or recommendations shared on the Community. The Community is not intended to be a space for offering or seeking legal, tax, or other professional advice. If you require legal counsel or other professional advice, consult with a qualified attorney or the appropriate qualified professional.

The Community is a place to find support and camaraderie among HR Professionals, SMBs and other members of the Mineral network. However, Mineral cannot moderate and is not responsible for in-person meetups or other connections that are established, both virtually and in-person, outside of the Community. Further, Mineral is not responsible or liable for any actions, omissions, material misrepresentations, fraud, willful misconduct and/or negligence (including personal injury and/or wrongful death) that may arise, whether directly or indirectly, from the use of the Community. Mineral does not verify and/or conduct background screenings or checks on any of the Community members. You agree that by using the Community, you are assuming the risk associated with an open, unverified, and un-monitored public forum.

MINERAL MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE COMMUNITY CONTENT, INFORMATION, POSTS, MATERIALS, AND THEIR ACCURACY, RELEVANCY, SUCCESS, FITNESS FOR A PARTICULAR PURPOSE, MARKETABILITY, MERCHANTABILITY, AND/OR APPLICABILITY. THE COMMUNITY IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

H. Indemnification

You agree to indemnify, defend, and hold harmless Mineral, its affiliates, officers, directors, employees, and agents from and against any and all claims, lawsuits, demands, penalties, fines, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or in connection with (a) your use of the Community and/or the materials, information, posts and/or content therein; (b) your breach of this Code or violation of applicable law; (c) a dispute between you, your partner and/or another Community member; (d) any claim alleging that your posts, content, materials and/or guidance is invalid, inaccurate, infringing, and/or misappropriating of a third party’s rights, titles, and/or interests, including privacy rights, titles, goodwill, interests and/or publicity rights; (e) any claim alleging the information you shared is illegal, non-compliant with applicable laws, inaccurate, infringing or in violation of an agreement or obligation to which you are bound.

I. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MINERAL, ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, GOODWILL, USE, NEGLIGENCE, GROSS NEGLIGENCE, FRAUD, MATERIAL MISREPRESENTATION, JUSTIFIABLE RELIANCE, OR LOSS OF DATA, YOUR FAILURE TO COMPLY WITH ANY STATE, LOCAL AND/OR FEDERAL LAWS, ORDINANCES, RULES, REGULATIONS AND/OR STATUTES, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE AND PERSONAL INJURY) OR OTHERWISE, ARISING FROM OR IN ANY WAY CONNECTED WITH THE COMMUNITY AND THIS CODE, EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES, SUCH DAMAGES WERE FORESEEABLE, AND REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF MINERAL, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WRONGFUL DEATH, PERSONAL INJURY, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING FROM OR RELATED TO THE COMMUNITY AND THIS CODE EXCEED THE AMOUNTS PAID TO MINERAL BY THE RELEVANT CUSTOMER UNDER THE RELEVANT ORDER FORM FOR ACCESS TO OR USE OF THE IN-PRODUCT MARKETING SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE FOREGOING LIMITATION OF LIABILITY PROVISION SHALL APPLY TO ANY CLAIM ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE COMMUNITY AND/OR THIS CODE, EVEN IF ANY REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. No action, regardless of form, arising out of or related to the Community and/or this Code shall be brought by you more than one (1) year after the cause of action has accrued.

J. Moderation

If Mineral determines that any content, behavior, or member violates our Community Code, we may (but are not obligated to) take the appropriate steps to moderate the situation, including but not limited to removing or modifying content. Repeated violations may result in warnings, temporary suspensions, or permanent bans.

K. Enjoy and Learn

Most importantly, enjoy your time in the Community, learn from others, and share your knowledge and experience to help fellow HR Professionals and SMBs grow.

By participating in the Community, you agree to abide by this Code of Conduct. Failure to comply with these guidelines may result in warnings, suspension, or removal from the Community at the discretion of the moderators.
